The Non-Exec No One Briefed

A new NED had joined the board to bring external perspective. But six months in, no one was sure what they were meant to be doing, including the NED.

There had been no induction, no discussion of scope, and no real agreement on where they would add value. The NED felt underused. The executives felt challenged in ways that didn’t help. The family weren’t sure what to expect, or how to judge effectiveness.

We worked with the board to clarify the purpose of the role. Were they seeking strategic insight? Constructive challenge? A sounding board?

 

From there, we introduced a clearer mandate, a simple induction process, and coaching for both the NED and the Chair to improve working dynamics.

Today, the NED is not just present. They’re contributing meaningfully.
